Introduction and acceptance of terms

These Terms and Conditions (“Terms”) constitute a legal agreement between you (“you", “your”, the “Client”) and Flow Earth AB ("Flow Earth," "we," "us," or “our") and collectively referred to as “the Parties", regarding your access to and use of the corporate.flowearth.com website, as well as any other form of media, media channel, mobile website, or mobile application linked, connected, or otherwise connected to it (collectively, the "Site"). These Terms and Conditions also regulate the relationship between the Parties for any Purchase Order that you might complete. You acknowledge that, by accessing the Site and/or the Services (by completing a Purchase Order), that you have read, understood and agreed to be bound by these Terms and Conditions.

In order to use our Services, you must (1) be a registered company or organisation, and (2) have the authority to enter into a binding agreement with us by your acceptance of these Terms.

 

Changes to terms

We reserve the right to make changes to these Terms and Conditions, in whole or in part, at our sole discretion, at any time and without prior notice by posting an updated version of the Terms and Conditions on our Site or when you access our Services. If and when we do make changes to our Terms, we will revise the “last updated” date at the beginning of the Terms. When we make substantial material changes to these Terms and Conditions, we will provide you with notice as appropriate under the circumstances, e.g., by displaying a prominent notice on the Site and/or by sending you an email. In some cases, we will notify you in advance, and your continued use of the Services after the changes have been made will constitute your acceptance of the changes. Please therefore make sure you read any such notice carefully. If you do not wish to continue using the Service under the new version of the Terms and Conditions, you may terminate your use of our Services by contacting us at the contact information provided in these Terms and Conditions. If you have completed a Purchase Order for Climate Packages, the agreement for the Climate Packages will continue to be the 10 year duration that was agreed from the date of your Purchase Order. Amounts paid by the Client for Climate Packages are not refundable in case of your termination of use of Services, because changes to our Terms will not impact the quantity of land that we have regenerated on your behalf, nor does it impact the fact that this regenerated land removes CO₂ from the atmosphere annually, nor does it impact the fact that we have agreed to annually remove CO₂ from the atmosphere on your behalf.

 

Purchase of Climate Package

Product & Service and Price

Flow Earth is launching a carbon dioxide removal solution by selling Climate Packages that are specially tailored for companies or any type of legal entities.
For each Climate Package purchased we initiate the planting on, or regeneration of, 100 (one hundred) meters square of land on one of our farming projects around the world, and each Climate Package generates Carbon Removal Credits (“CR”) that are estimated to remove a total of 3,000 kg of CO₂ from the atmosphere during a 10 year period (300 kg of CO₂ per year).

Each Climate Package consists of :

1. An investment in regenerating and establishing crops on 100 meters square of land
2. This area of land is estimated to remove 3,000 kg of CO₂ from the atmosphere during 10 years (300 kg of CO₂ per year)
3. Our self-financing mechanism will expand your land to 1,000 meters square estimated to remove 30,000 kg of CO₂ from the atmosphere during 10 years (3,000kg of CO₂ per year)

The total number of Climate Packages you can purchase is not limited as long as it corresponds to the available surface of all our projects.

The price of each complete Climate Package is € 150 (one hundred fifty euros) excluding VAT that could be added according to your country of residence or the VAT rate in Sweden, the country where we have our seat of business.

 

Self-Financing agreement

We are the first company in the world to offer a way to finance the removal of your annual CO₂ emissions, without adding an annual cost to your business, and without passing on the cost to your customers.

Our self-financing mechanism automatically included for each climate package purchased allows a 10-fold expansion of CO₂ removal at no further cost. Each farm has two different functions: CO₂ Removal & Financial activities from biomass production. We then digitize these two functions into Carbon Removal Credits (‘CR’) and Land Regenration Credits (‘LR’), both backed by our physical assets.

Carbon Removal Credits (‘CR’): The carbon function of the land, which includes CO₂ removal from the atmosphere and carbon storage in the soils is held in our ‘CR’.

Land Regeneration Credits (‘LR’): The financial function of the land, which includes land value increase, revenues and profits (which translate into an ROI) is held in our ‘LR’.

 

Our projects

Skymining®

The Flow Earth solution is based on a physical process called Skymining® which uses an extremely powerful CO₂ pump.
We combine fast growing C4 grass, planted on marginal or degraded land, with agroforestry to preserve biodiversity and capture and store carbon while regenerating the soils.

The Skymining® process has an ISO 14064 Validation from DNV (Veritas) that confirms the Carbon Dioxide Removal (CDR) and Soil Organic Carbon (SOC) sequestration capacity of our projects.

 

Payment processing

Payment by card

Clients can use their credit card when buying directly through Flow Earth’s website, where they allow Flow Earth to withdraw the agreed amount on the payment card. Clients can use Visa, Mastercard, Discover or American Express as means of payment. Clients may file a chargeback concerning “unauthorised debiting” against their card issuer, however not later than 14 days after the purchase, unless any other terms have been agreed between you and your card issuer.

Payment by bank transfer

Clients can choose to pay by bank transfer using the Flow Earth’s IBAN hereafter and the transaction number provided during the process.
By choosing the bank transfer method you will not be able to get your Proof of Purchase Certificate until the payment verification is completed.

Payment handling

Flow Earth uses Stripe to handle payments. They handle everything related to gathering and treating card data and are the ones to be contacted in case of any questions related to handling of card data.

Delivery

Clients create a Purchase Order via the corporate.flowearth.com website.
When an order is placed, it is the responsibility of the client to pay for said order.
Flow Earth will initiate the process to establish C4 grasses (and potentially also trees and other crops) on a land area of the size chosen by the Client on our site.

The process of establishing the full area land requested by the Client can take up to three years from the date of your Purchase Order. We will confirm to the Client when their requested land area has been established.

The 10-year period starts when the full expanded area of land is completed.

The Client accepts that the actual annual CO₂ removal capacity of our projects, on the land area specified on the Client’s Order, may vary over time due to draughts, other adverse weather conditions, failures in farming equipment or operations, or other circumstances outside of our control or circumstances covered under Force Majeure.

 

Warranty

If Flow Earth is not able to deliver the order within the specified time in the section “Delivery”, Flow Earth agrees to purchase carbon credits on the open market, on behalf of the Client, in the same amount of CO₂ removal as specified by the Client’s Purchase Order. Flow Earth will not purchase carbon credits to compensate for possible variations in CO₂ removal capacity after crops have been established, as this is covered by the Client’s acceptance of the terms in the section “Delivery”.

Flow Earth shall be solely responsible for the fulfilment of its obligations towards you, the Client. Flow Earth will provide no warranty for the delivery of CO₂ removal until an investment has been made by Flow Earth, directly or through a Flow Earth operational partner, in crop establishment, afforestation or an equivalent investment in existing farming or forestry operations that have a known carbon removal capacity. Once farming or forestry projects have been established by Flow Earth or its operational partners, or investments have been made into such existing projects, annual CO₂ removal quantities will be verified by different methods, including satellite imaging, measurement of crop yields, measurement of tree growth rates, soil samples and more. Actual CO₂ removal volumes will then be validated, from time to time, by a third-party validation or certification company.

No other warranty, express or implied, is made by Flow Earth, and none shall be imputed or presumed.

 

Force Majeure

"Force Majeure" shall mean a circumstance that is beyond the control of the party concerned and whose effects said party could not reasonably have prevented or overcome, including but not limited to war, civil war, riot, political unrest, public restrictions, regulatory orders, import or export prohibition or other public intervention, natural disasters, vandalism, theft, failing energy supply, breakdown of communication lines, seizure of funds, industrial disputes, lockouts and strikes, disease outbreak, epidemics, pandemics, or acts of God.

Neither party shall be liable for any failure or delay in the performance of its obligations arising out or caused, directly or indirectly, by Force Majeure affecting the party for the duration of such event of Force Majeure.

 

Certificates and communication

When the order is confirmed, a Proof of Purchase Certificate will be issued to the client.

The delivery of a Certificate is ordered directly by the Client after they login to their private user area (called ‘Dashboard’). During the order process, the Client will enter their email address as their username and choose a password for future login to their Dashboard on our corporate.flowearth.com website. After successfully completing a Purchase Order, the Client can log into their Dashboard, the then can click to order and download their Certificate.

Most of the communications between us and our Clients will happen directly on the Dashboard. Information regarding your Purchase Order, the quantity of land to be regenerated and the quantity of Carbon Removal Credits will all be visible on the Dashboard, along with information about other Clients that you may have referred to buy our Climate Packages, and information about your incentive shares.

Certificates issued by Flow Earth can be used by clients when communicating their CO₂ removal efforts to third parties.

 

Rights of Withdrawal

Clients are entitled to the Right of Withdrawal, when purchasing Climate Packages, within 14 (fourteen) days of the date of the Purchase Order. To use this right you need to send us your proof of purchase and proof of payment by email to support@flowearth.com

 

Privacy Policy

Flow Earth requires the following information when clients make a purchase:

Company name, Company country, VAT identification number, Last Name (Family Name), First name, e-mail.

Flow Earth respects the requirements of the current legal framework in relation to data processing. Please read our Terms and Privacy.

In case the client finds this information to be incorrect, they have the right to have it corrected. In certain circumstances, Flow Earth is obliged to delete the client’s personal data if requested by them. This could for instance be if the client data is no longer necessary in relation to the original purpose for which it was needed. The client can also contact Flow Earth if they are dissatisfied with any aspect of processing their personal data or if they find it to be in violation with the law. If the client wishes to use one or several of their rights related to GDPR, the client can contact us at support@flowearth.com

Cookie Policy

The website and mobile applications used by Flow Earth may use cookie technology to collect additional user and usage data on how they use the website. Flow Earth uses cookies to better understand how clients use the website services, to monitor aggregate usage by website users and to provide services.

The client may use browser software to stop accepting cookies. If the client chooses not to accept cookies, parts of the functionality of the websites and mobile applications delivered by Flow Earth may be impaired.

VAT, Tax and charges

A Purchase Order for Flow Earth’s Carbon Removal Credits is completed according to the tax and VAT rules for buying voluntary carbon credits or carbon removal credits. Flow Earth AB is registered in Sweden, and will charge VAT in accordance to the laws of Sweden, the EU and the countries where Client are resident. Each buyer will need to choose their country of residence for VAT purposes when completing a Purchase Order.

 

Limitation of liability

The liability of either party is excluded for incidental, special, indirect or consequential losses or damages arising out of or in connection with Flow Earth’s Carbon Removal Services.

To the extent permitted by law, the liability of either party under or in connection with Flow Earth services, shall be limited to the Flow Earth’s Purchase Order fee.

 

Validity, Applicable Law and Choice of Venue

The validity of these terms and conditions shall not be affected in case of invalidity or un-enforceability of parts of these terms and conditions. These terms and conditions, and any order confirmations made with Flow Earth, shall be subject to Swedish Law. If a dispute cannot be resolved, the Stockholm City Courts, Sweden, shall have exclusive jurisdiction.
